Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and OAIAO Labs Inc. ("BlackSwan," "we," "us," or "our") governing your access to and use of the BlackSwan platform, API, website, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you:

• Are at least 18 years of age
• Have the legal capacity to enter into these Terms
• Are not prohibited from using the Services under applicable law
• Are not located in, or a resident of, any country subject to U.S. sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions)

Description of Services

BlackSwan provides real-time risk intelligence infrastructure for autonomous AI agents. Our Services include:

• Smart Agents — Pre-configured intelligence products accessible via API
• Risk Engine Platform — Real-time risk monitoring and analysis
• API Access — Programmatic access to risk intelligence data and analysis

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time.

Payment Terms

x402 Protocol Payments

• x402 payments are processed on-chain using USDC on Base
• Payments are final and non-reversible once confirmed on-chain
• You are responsible for ensuring sufficient funds and correct wallet configuration
• Blockchain transaction fees are your responsibility

Acceptable Use

You agree not to use our Services to:

• Violate any applicable law, regulation, or these Terms
• Infringe on intellectual property rights of others
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the integrity or performance of our Services
• Use automated means to access our Services except through our official API
• Reverse engineer, decompile, or disassemble any aspect of our Services
• Resell, sublicense, or redistribute our Services without authorization
• Circumvent rate limits or usage restrictions

API Usage

Rate Limits

• Each access tier has specific rate limits as described in our documentation
• Exceeding rate limits may result in throttling or temporary suspension
• Repeated violations may result in account termination

Data Usage

• Data received through our API is for your internal use only
• You may not redistribute, resell, or publicly display raw API data without authorization
• Aggregated or derived insights may be used in your applications

Intellectual Property

BlackSwan and its licensors retain all rights, title, and interest in the Services and all related technology, trademarks, logos, and brand features.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

BlackSwan provides risk intelligence, not financial advice. Our Services are intended to provide information and analysis for autonomous agents and their operators. We do not provide investment, trading, legal, or financial advice. Decisions made using our Services are your sole responsibility.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Our total liability for any claims arising from or related to these Terms or your use of the Services shall not exceed the greater of: the amount you paid us in the 12 months preceding the claim, or one hundred U.S. dollars ($100).

Dispute Resolution

Before initiating formal dispute resolution, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
